SHW Group Inc. provides computer systems design and related services, including integrated systems design, technical consulting, software architecture, and project management within the Professional, Scientific, and Technical Services sector. Our services are delivered to clients across Canada and internationally.
All content, design, text, graphics, logos, software, and intellectual property on this Site are owned exclusively by SHW Group Inc. or its licensors and are protected by Canadian and international copyright, trademark, and intellectual property laws. You receive a limited, non-exclusive, revocable license to access and use the Site for personal, non-commercial purposes.
To the maximum extent permitted by Ontario law and Canadian law, SHW Group Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site or our services, including loss of profits, data, or business interruption.
Our total aggregate liability shall not exceed the fees paid by you to us in the twelve months preceding the claim.
The Site and all services are provided on an as is and as available basis. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant uninterrupted or error-free access.

Project-based services are governed by separate Statements of Work. Retainer engagements operate on monthly billing cycles. Payment terms are net 30 days from invoice date unless otherwise agreed. Late payments may incur interest at 1.5% per month.
During our business relationship, both parties may exchange confidential information. Each party agrees to maintain confidentiality for three years following disclosure and to use such information solely for the business purpose. This obligation does not apply to publicly available information.
Our Site may link to third-party websites. We have no control over and assume no responsibility for their content, privacy practices, or terms. We encourage you to review their policies.
We may suspend or terminate your access to the Site immediately for breach of these Terms. Sections that by nature should survive termination shall survive, including intellectual property, limitation of liability, indemnification, and governing law provisions.
These Terms are governed by the laws of the Province of Ontario and applicable Canadian federal law. Any legal proceedings shall be brought exclusively in the courts of Windsor, Ontario, Canada.
Neither party is liable for delays or failures caused by circumstances beyond reasonable control, including acts of God, war, terrorism, pandemic, fire, flood, strikes, or governmental actions.
These Terms, together with any Statements of Work or service agreements, constitute the entire agreement between you and SHW Group Inc. regarding Site use, superseding all prior agreements.
We may revise these Terms at any time. Material changes will be communicated via our Site. Continued use after changes constitutes acceptance. Review these Terms periodically.
Our failure to enforce any provision is not a waiver. If any provision is found invalid, the remaining provisions continue in effect. No waiver of any term shall be binding unless in writing.
